Uses of Funds & Timeline

Obligations to Investors, Profit Distribution
Scrupler is committed to aligning our investors’ interests with the company’s long-term success. During this investment round we offer our early investors to purchase Scrupler's shares through convertible loans. Here is short definition of this investment tool:
With convertible loan, a business borrows money from investor where both parties enter the agreement with the intent (from the outset) to repay all of the loan by converting it into a certain number of its preferred or common shares at some point in the future (when Maturity date comes) with additional benefits.
Benefits that Scrupler offers to early investors during this fundraising campaign:
1. 5% of annual interest which means that amount of purchased shares will be increased by 5% during conversion (when Maturity date comes which is 12 months after signed agreement). Example: if investor buys 100 shares, after conversion date he/she will get 105 shares of the company.
2. Fixed valuation cap of Scrupler for early investors which means that these investors will get much more shares for their invested money than future investor for the same amount of money. This scenario is possible if there will be new investment round before conversion date. Example: investor purchases shares of Scrupler now with price of 24 Euro per share. Valuation of the company is 6 000 000 Euro. In 6 months after that new big investor wants to buy some amount of shares and values company at 30 000 000 Euro. This means that for early investors shares will be converted with price of 24 Euro per share while new investor will pay 120 Euro (5x).
3. For those investors who want to sell their shares after conversion, our management plans to buy them back at a favorable price. A more detailed proposal will be formulated closer to the date when the conversion will take effect.
Dividend Distributions:
Scrupler plans to allocate 20-30% of profits as dividends to shareholders once consistent earnings are achieved. While the initial focus will be on business expansion, we anticipate the first dividend payouts between 2027-2028.
