Prerequisites for Creating a Campaign

• The Campaigner is a private limited liability company (OÜ) or a public limited liability company (AS) registered in Estonia. NB! The Campaigners who are registered outside Estonia can start a campaign through a special purpose vehicle (SPV) registered in Estonia. Contact us to discuss details.
• The Campaigner’s Articles of Association stipulate a possibility of electronic voting for shareholders and allows for share capital increase with a share premium. It is recommended that the Campaigner's Articles of Association also stipulate prohibition to encumber the shares of the Campaigner and a possibility to make non-monetary capital contributions.
• The share capital of the Campaigner has been paid up in full.
• The Campaigner agrees to open a Swedbank special account for the duration of the Campaign under the terms stipulated in the special account agreement.
